Humaital Governance Charter
Humaital was established on the belief that the advancement of technology must remain aligned with the enduring principles of human responsibility, ethical leadership, and societal progress. As artificial intelligence and emerging technologies increasingly influence economies, institutions, and daily life, the governance of these systems must reflect a deliberate commitment to human-centered values.
This Governance Charter defines the guiding principles and governance structure through which Humaital operates. It establishes the standards for leadership accountability, responsible innovation, and institutional integrity in support of Humaital’s mission.
The purpose of this charter is to ensure that Humaital’s work—including research, frameworks, and initiatives such as the Human Alignment Index™ (HAI Score™)—is conducted with transparency, independence, and responsibility to society.
Mission Alignment
Humaital exists to advance the responsible integration of technology and humanity by promoting frameworks, dialogue, and solutions that ensure technological systems serve the broader interests of humankind.
The organization is guided by the conviction that innovation and progress should strengthen human dignity, empower communities, and contribute positively to global society.
All activities conducted under the Humaital name must remain aligned with this mission.
Core Governance Principles
Humaital’s governance framework is guided by six foundational principles that shape decision-making and institutional conduct.
Trust
Humaital strives to maintain the trust of organizations, institutions, and the public through responsible stewardship of information, transparent methodologies, and ethical leadership.
Accountability
Human oversight and responsibility remain essential in the development and evaluation of technology. Humaital promotes clear accountability structures within both technological systems and organizational leadership.
Humaital’s commitment to human accountability extends directly to the HAI Score™ assessment process. No score is treated as final solely on the basis of automated analysis. A designated human reviewer holds personal accountability for certification-level assessments and for any assessment incorporating organizationally submitted documentation.
This human review layer is documented in the HAI Score™ Methodology and is a permanent feature of the assessment standard regardless of how the underlying analytical tools evolve.
Purpose
Technological innovation must be directed toward meaningful objectives that support societal advancement and human wellbeing.
Safety
The deployment of advanced technologies must consider risks to individuals, institutions, and communities. Humaital advocates for responsible safeguards that protect the public interest.
Transparency
Humaital promotes openness regarding methodologies, research processes, and analytical frameworks to ensure clarity and credibility.
Impact
The long-term societal consequences of technological advancement must be carefully evaluated to ensure that progress benefits humanity and future generations.
Governance Structure
Humaital operates under a governance framework that emphasizes leadership accountability, independent analysis, and responsible decision-making.
The governance structure includes oversight by founders and leadership, with the support of advisors and collaborators who contribute expertise to the organization’s initiatives.
Governance responsibilities include:
- Maintaining alignment with Humaital’s mission and principles
- Ensuring the integrity of research, frameworks, and public communications
- Preserving independence in analysis and evaluation
- Promoting responsible technological development and discourse
Strategic decisions are evaluated in relation to their ethical implications, societal impact, and consistency with Humaital’s guiding principles.
Responsible Innovation
Humaital recognizes that emerging technologies—particularly artificial intelligence—have the potential to significantly shape the future of society.
Through research initiatives and frameworks such as the Human-Alignment Index™, Humaital seeks to encourage organizations to develop and deploy technologies in ways that are responsible, transparent, and aligned with human values.
Humaital promotes the principle that technology should remain a tool that advances human capability rather than a force that operates without accountability or ethical direction.
Integrity and Independence
Humaital maintains independence in its research, analysis, and frameworks. The organization strives to avoid influences that could compromise the objectivity of its work.
Individuals affiliated with Humaital are expected to conduct themselves with professionalism, intellectual honesty, and respect for the mission and values of the organization.
Transparency in governance and research practices is essential to maintaining the credibility and integrity of Humaital’s initiatives.
Independence and Conflict of Interest
Humaital maintains strict separation between its commercial relationships and its assessment activities. Organizations that hold a current paid consulting, advisory, or service engagement with Humaital are not eligible to receive an HAI Score™ assessment during the term of that engagement. A minimum 90-day period must elapse following the conclusion of any commercial relationship before an assessment may be initiated.
Organizations listed as Humaital partners are subject to the same methodology, criteria, and scoring standards as all other assessed entities — partner status confers no scoring advantage and all partner assessments are subject to mandatory human review regardless of outcome. Humaital does not accept payment in exchange for a specific score or certification result. Any personal or financial interest held by Humaital personnel in an organization under assessment must be disclosed prior to evaluation and, where material, will result in the assessment being conducted or reviewed by an independent party.
These boundaries exist to protect the integrity of every score issued under the HAI Score™ standard and to ensure that organizations, investors, and the public can rely on HAI assessments as independent evaluations.
Commitment to Society
Humaital recognizes that the governance of emerging technologies is not solely a technical challenge but a societal responsibility.
The organization seeks to contribute to the global dialogue regarding responsible technology by supporting institutions, organizations, and leaders who are committed to building a future where innovation and humanity advance together.
Humaital believes that thoughtful governance and responsible leadership can ensure that technological progress contributes positively to the human experience.
Charter Approval
This Governance Charter reflects the principles and commitments that guide the mission and operations of Humaital.
This charter has been reviewed and approved by the ownership, founders, and management of Humaital and represents a formal commitment to uphold these governance principles in alignment with the organization’s core values.
